Requirements for setting up a business
The future shareholder(s) and business representative must be present in person at the registration of the business.If the company has several shareholders and representatives, they must all be present.
A valid identity document and Slovenian tax number are required.
Share capital of the d.o.o.(LLC) must be in cash in a minimum amount of EUR 7,500.
A shareholder cannot be on the register of the Financial Administration of the Republic of Slovenia as a tax debtor or a defaulter.
Setting up a business:
To start a business – s.p. (sole trader) or d.o.o. (limited liability company) you need:
Identity document,
Slovenian tax number,
Authenticated consent from the owner of the premises where you will have your business address, if you are not the owner of the premises.The owner of the premises authenticates the statement at the Administrative Unit or at a notary public.
Procedure for establishing s.p. (sole trader) status at the branch of AJPES
To register as s.p. (self-employed) a future entrepreneur needs:
Identity document,
Slovenian tax number,
Authenticated consent from the owner of the premises where you will have your business address, if you are not the owner of the premises.
During the registration procedure for s.p. (sole trader) status, a clerk prepares the following forms for the future entrepreneur:
- Entry of an s.p. (sole trader) in the Slovenian Business Register – AJPES form,
- Submission of tax information on the s.p. (sole trader) to the Financial Administration of the Republic of Slovenia (FURS)– FURS form,
- Registration in the compulsory social security scheme – M1 form.
The sole trader signs the forms and the clerk sends them via email to the respective institutions.The sole trader receives a decision on entry in the Slovenian Business Register generally within two days of the date the sole trader proposed for entry in the register to the address provided at the registration.
After the registration of the business the s.p. (sole trader) has to:
With the decision on the entry in the Slovenian Business Register AJPES, the sole trader can open a business bank account.

Useful information for an s.p. (sole trader)
When registering the business the sole trader should register the business activities with which they will immediately start their business.Adding new business activities is also possible after the registration of the business.
A fictitious name is not obligatory for an s.p. and the sole trader can add it to their name at any point.
Procedure of setting up a d.o.o. (limited liability company)
A simple single- or multi-member limited liability company may be established (if the shareholders agree to the memorandum of association found on the SPOT portal).
To register a d.o.o. (limited liability company) a future entrepreneur needs:
Identity document,
Authenticated consent from the owner of the premises where you will have your business address, if you are not the owner of the premises.The consent of the (co)owner is authenticated by a clerk at AJPES, an Administrative Unit or by a notary public.
During the registration procedure for d.o.o. (limited liability company) a clerk prepares the following forms for the company:
- Articles of association/memorandum of association (if there are more shareholders)
- Resolution that appoints the company’s representative(s),
- Resolution on the establishment of the company’s business address,
- Declaration of the representative,
- Declaration of tax information.
Shareholders and representatives sign the documents, entrepreneur receives the documents to open a provisional bank account at their chosen bank:
- Articles of association/memorandum of association,
- Resolution that appoints the company’s representative(s),
- Resolution on the establishment of the company’s business address.
With these documents the entrepreneur opens a provisional bank account and transfers or deposits initial capital.The bank issues confirmation that a cash deposit has been made.No later than 14 days later the entrepreneur delivers the original confirmation to the AJPES clerk who prepared documents for the company.The clerk sends the documents via email to the Register Court.If the application is filed correctly, the company is registered approximately in 7 days.After receiving the court’s decision on entering the company in the Slovenian Business Register the entrepreneur can return to the bank and change the temporary bank account into a business account.The company has EUR 7,500 for operating.
What do you have to do after establishing a company?
When your company is established you can:
- Hire a shareholder,
- Begin the process of acquiring a VAT number,
- Hire employees,
- Change company data,
- Adopt general acts of the company,
- Set working hours
- Conclude a contract regarding accounting and choose an accountant,
- Issue invoices.
